Terms of Service

AdProtect AI is an AI-powered reference tool for advertising compliance in Singapore. Results do not constitute legal advice and do not guarantee regulatory compliance. Final responsibility for all advertising materials rests with the advertiser. For legally binding guidance, please consult a qualified healthcare law practitioner.

1. Parties and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and AdProtect AI Pte. Ltd. ("Company", "we", "us"), a company incorporated in Singapore, governing your access to and use of the AdProtect AI platform and all related services ("Service").

By registering for an account, clicking "I Agree", or otherwise accessing the Service, you confirm that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into binding contracts under Singapore law;
  • You have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a business entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Description of Service

AdProtect AI provides an AI-powered compliance checking platform designed to assist Singapore-based healthcare, aesthetics, and beauty businesses in reviewing advertising materials against the following regulatory frameworks:

  • Healthcare Services Act 2020 (HCSA) and MOH licensing conditions;
  • Health Sciences Authority (HSA) guidelines on therapeutic products and cosmetics;
  • Advertising Standards Authority of Singapore (ASAS) Code of Advertising Practice;
  • Medicines (Advertisement and Sale) Act (Cap. 177);
  • Related MOH circulars and guidance notes.

The Service supports checking of text, images, video content, and URLs. All AI-generated analysis is for reference purposes only and is not a substitute for professional legal or regulatory advice.

3. User Accounts

3.1 Registration. You must register using a valid email address. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 Account Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately at support@adprotect.ai if you suspect unauthorised access.

3.3 One Account Per User. Each individual or business entity may maintain only one active account. Creation of multiple accounts to circumvent plan limits is prohibited.

3.4 Account Suspension. We reserve the right to suspend or terminate accounts that violate these Terms, remain inactive for more than 12 consecutive months, or where we reasonably suspect fraudulent activity.

4. Subscription Plans and Payment

4.1 Plans. The Service is offered on a subscription basis with Free, Starter, Pro, and Enterprise tiers. Plan features and check limits are as published on our Pricing page.

4.2 Billing. Paid subscriptions are billed in advance on a monthly or annual cycle. All prices are in Singapore Dollars (SGD) and inclusive of applicable Goods and Services Tax (GST) at the prevailing rate.

4.3 Payment Processing. Payments are processed by Paddle.com Market Limited, which acts as Merchant of Record. By purchasing a subscription, you also agree to Paddle's Terms of Service and Privacy Policy.

4.4 Auto-Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date via your account dashboard.

4.5 Price Changes. We will provide at least 30 days' written notice (via email or in-app notification) before any change in subscription pricing takes effect.

5. Refunds and Cancellation

5.1 30-Day Money-Back Guarantee. If you are not satisfied with a paid plan, you may request a full refund within 30 days of your first payment for that plan. This guarantee applies once per customer.

5.2 How to Request a Refund. Email support@adprotect.ai with your registered email and reason. Refunds are processed within 5–10 business days to your original payment method.

5.3 Cancellation. You may cancel your subscription at any time via the account dashboard. Upon cancellation, your plan remains active until the end of the current billing period, after which it reverts to the Free tier. No partial-month refunds are provided after the 30-day guarantee period.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Process, generate, or review content that is unlawful, fraudulent, defamatory, or infringes third-party intellectual property rights;
  • Circumvent plan limits by creating multiple accounts or sharing accounts across organisations;
  • Reverse engineer, decompile, or attempt to extract source code from the Service;
  • Resell, sublicense, or commercially redistribute AI-generated outputs without written consent;
  • Conduct automated bulk requests that unreasonably burden the Service infrastructure;
  • Introduce malicious code, viruses, or perform unauthorised security testing.

Violation of this policy may result in immediate account termination without refund.

7. Intellectual Property

7.1 Our IP. All rights, title, and interest in the Service — including AI models, software, trademarks, and content — remain exclusively owned by AdProtect AI Pte. Ltd.

7.2 Your Content. You retain ownership of all content you upload. By uploading content, you grant us a limited, non-exclusive, royalty-free licence to process that content solely for the purpose of providing the Service. Uploaded content is deleted after analysis and is not used to train our AI models without your explicit consent.

7.3 Output. AI-generated compliance reports are provided for your internal use only. You may not publish or commercialise these reports as standalone products.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • AI analysis results are accurate, complete, or legally conclusive;
  • The Service will be uninterrupted, error-free, or free of security vulnerabilities;
  • The Service will reflect real-time regulatory updates immediately.

9. Limitation of Liability

To the fullest extent permitted by Singapore law, AdProtect AI Pte. Ltd. and its directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages;
  • Regulatory fines, penalties, or enforcement actions resulting from reliance on Service outputs;
  • Loss of business, revenue, data, or goodwill;
  • Any damages arising from third-party services integrated with the platform.

Our total aggregate liability shall not exceed the amount you paid to us in the 3 months immediately preceding the event giving rise to the claim, or SGD 100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless AdProtect AI Pte. Ltd. from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) content you submit that infringes third-party rights.

11. Modifications to the Service and Terms

We reserve the right to modify the Service or these Terms at any time. For material changes, we will provide at least 14 days' notice via email or prominent in-app notification before the changes take effect.

Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you disagree, you must stop using the Service and may cancel your subscription for a pro-rated refund of any unused period.

12. Governing Law and Dispute Resolution

12.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict-of-law principles.

12.2 Mediation First. In the event of a dispute, both parties agree to first attempt resolution in good faith. If unresolved within 30 days, either party may refer the dispute to mediation at the Singapore Mediation Centre (SMC) before commencing legal proceedings.

12.3 Jurisdiction. If mediation fails, the parties submit to the exclusive jurisdiction of the courts of Singapore, subject to the SMC Mediation Rules.

13. General Provisions

Severability: If any provision is found unenforceable, the remaining provisions remain in full force.

Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us.

Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to a successor entity in connection with a merger or acquisition.
